Corporate governance
SEB Asset Management AB is a wholly owned subsidiary of Skandinaviska Enskilda Banken AB. The CEO, the Board of Directors and the General Meeting of Shareholders form the central decision bodies of SEB Asset Management AB.
The areas of responsibility of the CEO, the Board of Directors and the General Meeting of Shareholders are regulated, among other ways, through the Swedish Companies Act (aktiebolagslagen) and in the rules of procedure for the Board of Directors together with instructions on the division of labour between the Board and the CEO.
The main control functions of SEB Asset Management AB are internal audit, risk management and compliance. These functions play a vital role in ensuring that the company conducts its business in a sound and responsible manner, in compliance with applicable laws and regulations, which are essential for establishing a robust corporate governance framework in an investment company.
In addition to the above, SEB Asset Management AB has a function for Anti Money Laundering (AML) and Sanctions, led by the AML and Counter-terrorist financing (CTF) Operative Responsible and a Sanctions Officer.
The following committees are established in order to support the operations of SEB Asset Management:
- Internal Risk Committee
- Customer Committee
- Credit and Counterparty Committee
- Financial Crime Prevention (FCP) and Customer Adoption Committee
The CEO and the Board of Directors are subject to a suitability assessment by the Swedish Financial Supervisory Authority (Finansinspektionen) before assuming office.
