Welcome to SEB’s Annual General Meeting on 4 April 2023

Skandinaviska Enskilda Banken AB (”SEB”) will hold its Annual General Meeting (AGM) on 4 April 2023, at 13:00 CET at Stockholm Concert Hall, Hötorget, Stockholm.

 

Before the meeting a light meal and refreshments will be served. Members of the Group Executive Committee will be available to answer questions from the shareholders.

The Board of Directors has decided that shareholders shall be able to exercise their voting rights at the AGM also by postal voting in accordance with the regulations in SEB's Articles of Association. It will also be possible to follow the meeting online, via sebgroup.com, but without the opportunity to vote or ask questions. No special registration is required to attend the meeting online.

The agenda for the AGM includes the Board of Directors' proposal for an ordinary dividend of SEK 6.75 per A and C share for 2022.  The Nomination Committee has been informed that all present Directors except for Jesper Ovesen are available for re-election. The Nomination Committee proposes re-election of Marcus Wallenberg, Jacob Aarup-Andersen, Signhild Arnegård Hansen, Anne-Catherine Berner, John Flint, Winnie Fok, Sven Nyman, Lars Ottersgård, Helena Saxon and Johan Torgeby, as well as new election of Svein Tore Holsether.

The notice of the AGM and the Nomination Committee's and the Board of Directors' complete proposed resolutions are available on sebgroup.com and at the bank's head office at Kungsträdgårdsgatan 8 in Stockholm. The notice will be published in Post- och Inrikes Tidningar on 24 February 2023. An announcement of the notice will be published in the Swedish newspapers Dagens Nyheter, Svenska Dagbladet and Dagens Industri on 24 February 2023.
